Whenever there is a small, or large, solid Business or Real Estate project with a good exit plan and clear potential to make money at a higher-than-average rate of return (and possibly quicker than with traditional investments),  there is a private investor out there willing to provide the money to help finance it. Two Basic, But Critical, Things You Must Understand First In Order To Successfully Approach Private Investors To Give You Their Money

First: Don't expect a serious or even somewhat knowledgeable investor to get anywhere near the point of actually giving you money for your company or project unless you have presented them with a properly structured and legal Private Securities Offering.

Business plans serve an important purpose (especially for start-up companies), but they should never be relied upon as investment documents and cannot take the place of a legal private securities offering.

NOTE: Properly raising any amount of debt or equity capital from private investors goes well beyond just having a business plan in place - It requires what’s known as a Private Securities Offering. The Private Investor Toolkit instructs you how to do it, step-by-step.

Second: Proper documentation for raising capital from investors is of vital importance. The specific documents needed for raising private capital are:

Private Placement Memorandum: The Private Placement Memorandum, or "PPM", is the document that discloses all pertinent information to the investors about the company, including: proposed company operations, the transaction structure (whether you are selling equity ownership or raising debt financing from the investors), the terms of the investment (share price, note amounts, maturity dates, etc.), risks the investors may face, etc.

NOTE: Do not confuse the detailed corporate disclosures, SEC disclosures, and transaction structure that a properly prepared PPM provides with the general information that a business plan provides - they are not the same.

Promissory Note: In debt offerings you need to have a Promissory Note outlining the terms of the loan arrangement with the investors. The note is the actual "loan document" between the company (you) and the investor. It is impossible to have a "loan" without a "loan agreement" that sets forth the terms and conditions of the loan. Don't expect investors to provide you funding based on a handshake.

Subscription Agreement: Provides the documentation necessary to allow the investor to actually invest. It is the document the investor signs and returns to you with their investment check.

NOTE: You also have to know how to properly structure these documents. I give you the proper format and all the forms and exact instructions on how to complete them.

Ask yourself: Would you invest funds into a company without having the protection of legal documents that set forth the terms and conditions of the investment, including when and how much you are to be paid back?

Without a properly structured and prepared private securities offering, that is exactly what you are asking an investor to do.

In order to legally approach investors and accept their investment funds, you must follow the rules and regulations forth by the Securities and Exchange Commission (SEC) and State securities regulators.
